Welcome to the PuraVida Foods, Inc. (“PuraVida,” “we,” “us,” or “our”) website. By accessing or using our site or interacting with our services (collectively, the “Services”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.

1) Eligibility & Use of the Site

  • You must be the age of majority in your place of residence to use the Services.
  • Use the Services only for lawful purposes and in a manner that does not infringe others’ rights or restrict their use.

2) Privacy

Your use of the Services is subject to our Privacy Policy (incorporated by reference). It explains how we collect, use, and share information.

3) Intellectual Property

All content and materials on the site—including text, graphics, logos, product names, and trademarks (including PuraVida™ and CryoCrafted™)—are owned by PuraVida or its licensors and protected by law. No license is granted except as necessary for normal site use.

  • We strive for accuracy but do not guarantee that product descriptions, images, pricing, or availability are error-free.
  • We may change or discontinue products, features, or pricing at any time without notice.

5) Third-Party Services & Links

The site may link to third-party websites or use third-party tools (e.g., analytics). We are not responsible for third-party content, policies, or practices. Use them at your own risk.

6) User Content (reviews, messages)

If you submit reviews, feedback, or other content (“User Content”):

  • You grant PuraVida a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with the Services and our business.
  • You represent you own or control the rights to your User Content and that it does not violate law or third-party rights.
  • We may remove or refuse any User Content at our discretion.

7) Acceptable Use (Prohibited Activities)

Violate applicable laws or infringe intellectual-property, privacy, or publicity rights;
Post or transmit harmful, deceptive, defamatory, obscene, or discriminatory content; Upload malware or attempt to interfere with the site’s security or operation; Scrape, crawl, or harvest data from the Services without permission; Misrepresent your identity or affiliation; or Use the Services for commercial resale without our written consent.

We do not guarantee the Services will be uninterrupted, timely, secure, or error-free.

9) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PURAVIDA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.

10) Indemnification

You agree to defend, indemnify, and hold harmless PuraVida and its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your: (a) use of the Services; (b) violation of these Terms; or (c) violation of any law or third-party right.

11) Changes to the Services or Terms

We may modify the Services or these Terms at any time. Updates are effective when posted. Your continued use after changes are posted constitutes acceptance.

12) Governing Law & Dispute Resolution

These Terms and any disputes arising out of or relating to them or the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the courts located in Toronto, Ontario, and waive any objection to inconvenient forum. If you access the Services from outside Canada, you are responsible for compliance with local laws.

13) Suspension & Termination

We may suspend or terminate your access to the Services at any time for any reason, including suspected violations of these Terms. Sections intended to survive (including IP, disclaimers, limitations, indemnification, governing law) will survive termination.

14) Miscellaneous

  • Entire Agreement. These Terms (plus any additional terms we present for specific features or promotions and our Privacy Policy) are the entire agreement between you and PuraVida regarding the Services.
  • Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect.
  • No Waiver. A failure to enforce a provision is not a waiver of the right to do so later.
    Assignment. You may not assign your rights or obligations under these Terms without our consent; we may assign ours.
